Importance of Due Diligence
During the virtual panel, the impacts of the mergers and acquisitions (M&A) market in the current context and the projections for 2021 were discussed, as well as the stages of the operations from the point of view of the buying and selling parties.
The event was attended by lawyer Gabriela de Ávila Machado, head of the firm’s corporate area, and TBS partner Pedro Menin. The experts discussed topics from the legal and accounting areas, as well as the importance of the due diligence process in M&A operations, which involves auditing the negotiated company in the accounting, tax, legal and other areas.
Among the experts’ analyses were the buyer’s view, the seller’s view, Valuation, EBTIDA and performance indicators; reports and economic scenarios, stages and the importance of Due Diligence in M&A processes.
Finally, the topic “After Due Diligence” brought up the importance of the legal formalization stage of the acquisition, as well as the incorporation of important clauses identified in the due diligence processes, such as guarantees for the operation, contingencies, previous liabilities, assessment of the risks of the operation and the business, among others.
Opportunities for 2021
The participants ended the webinar by talking about trends for 2021, answering questions sent in by those who had registered for the event, as well as highlighting the practice areas of the firm and TBS.
