Corporate governance as a business strategy

Gabriela Victorette
Lawyer at Marcos Martins Advogados

According to the Brazilian Institute of Corporate Governance (IBCG), corporate governance is the way in which companies are run, monitored and encouraged, shedding light on the relationship between partners/shareholders, managers and employees.

Also according to the IBCG, the governance procedures adopted must comply with the pillars of transparency, fairness, accountability, corporate responsibility and compliance.

Given this scenario, Corporate Law stands out as a means of enabling the implementation of solid governance within companies.

This is because, in general terms, the specialist lawyer will be able to develop corporate structures, establish rules for the participation of external members in deliberative and advisory bodies, create systems, processes and procedures in accordance with the legal provisions and internal rules of the institution.

In conclusion, corporate governance is a strategic tool and its importance is intrinsically linked to the company’s values, since its application has the ability to direct it towards various different objectives, such as operational performance, mitigation of succession conflicts and abuse of power, fraud prevention, market visibility, among others.
