The Covid-19 pandemic has brought changes to the way we work. With quarantine and the home office also came live broadcasts of lectures and other events, including with the participation of executives from publicly traded companies.
CVM has issued a document with good practices that should be adopted in this type of event, especially with regard to insider information, even if the company is not the organizer of the live.
Circular Letter 7/2020-CVM/SEP states that “lives” should follow the same rules set out in the “rules that deal with the disclosure of information, in particular CVM Instruction 358/02 and CVM Instruction 480/09.
In addition, the CVM recommends that these events, which are not on the company’s Corporate Events Calendar, be publicized in advance and with details about the event, which will be attended by the executive, and the Official Letter determines that the company send the material presented through the Empresas.NET System, including any additional comments that may have been made at the event (for example in response to questions), all without prejudice to the obligations that they must fulfill, in cases where such information constitutes a Material Fact.
