On June 15, Normative Instruction 81 (IN) of the DREI (National Department of Business Registration and Integration) was published, consolidating the general rules of the Public Registry of Companies.
The IN revoked a total of 56 rules, including normative instructions and circular letters, all in the pursuit of simplification and debureaucratization, the object of Economic Freedom.
Previously, when opening a company, the person responsible had to comply with various rules: rules on the company name, the location of the registered office, foreign participation and others. With the advent of the IN, all the rules linked to the opening process are now concentrated.
It should be noted that the IN did not just bring consolidation, it included some changes, such as the formation of the business name, which can now be constituted “with any words of the national or foreign language, regardless of the indication of the object”. The notarization and authentication of copies by the registry offices of those submitted for filing are now dispensed with and the acts of incorporation of some companies are now approved automatically in some cases.
The IN comes into force on July 1, 2020.
